These Terms constitute a legally binding agreement between you and Veradigm Inc. If you are using our platforms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use our services.
Subject to these Terms and any applicable subscription agreement, Veradigm grants you a limited, non-exclusive, non-transferable, revocable license to access and use our platforms for your internal business purposes. You may not:
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access. Veradigm is not liable for losses resulting from unauthorized account use.
All content, features, and functionality on our platforms — including text, graphics, logos, software, and data compilations — are owned by Veradigm or its licensors and are protected by applicable intellectual property laws. The Veradigm name and logo are registered trademarks.
OUR PLATFORMS ARE PROVIDED AS-IS WITHOUT WARRANTIES OF ANY KIND. VERADIGM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Our clinical decision support tools are intended to assist, not replace, the independent clinical judgment of licensed healthcare professionals.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERADIGM’S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) AMOUNTS PAID BY YOU TO VERADIGM IN THE 12 MONTHS PRIOR TO THE CLAIM. VERADIGM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Cook County, Illinois.
